Portcullis - Terms of Service
1. Definitions
1.1 “Portcullis” refers to Enter the Portcullis Corp, a specialized solutions agency for the Clickhouse ecosystem.
1.2 “Client” means the individual, company, or organization engaging Portcullis for services.
1.3 “Services” include consulting, implementation, optimization, migration, and support related to Clickhouse technologies.
1.4 “Clickhouse Ecosystem” refers to Clickhouse database technologies, related tools, and associated infrastructure solutions.
2. Service Scope
2.1 Engagement Types
- Consulting Services
- Implementation Projects
- Performance Optimization
- Migration Assistance
- Ongoing Technical Support
- Custom Development Solutions
2.2 Portcullis reserves the right to refuse or terminate any engagement that falls outside its area of expertise or technological capabilities.
3. Client Responsibilities
3.1 The Client shall:
- Provide accurate and complete information necessary for service delivery
- Ensure access to required systems and environments
- Maintain appropriate security protocols
- Designate a primary point of contact for project communication
3.2 Clients are responsible for:
- Backing up their existing data before any migration or implementation
- Maintaining appropriate software and hardware prerequisites
- Implementing recommended security measures
4. Pricing and Payment
4.1 Pricing Models
- Hourly Consulting Rates
- Fixed-Price Project Contracts
- Retainer-Based Support Agreements
- Custom Pricing for Complex Engagements
4.2 Payment Terms: -Invoices issued upon project milestone completion or monthly for ongoing services
- 5% discount if paid within 7 days of invoice date
- Maximum payment period of 14 days from invoice date
- Payments received after 14 days subject to 1.5% monthly interest charge
5. Intellectual Property
5.1 Deliverables created by Portcullis during service engagement:
- Custom code and configurations remain client property
- Underlying methodologies and generic tools remain Portcullis intellectual property
- Open-source contributions follow respective project licenses
5.2 Client retains ownership of all pre-existing data and configurations.
6. Confidentiality
6.1 Portcullis commits to:
- Maintaining strict confidentiality of client data
- Using industry-standard encryption and secure communication protocols
- Limiting access to client information on a need-to-know basis
6.2 Confidentiality remains in effect during and after service engagement.
7. Warranties and Limitations
7.1 Service Warranties
- Technical solutions delivered will meet agreed specifications
- Best-effort compatibility with Clickhouse ecosystem standards
- Repair or re-performance of defective services
7.2 Limitation of Liability
- Maximum liability limited to total contract value
- No liability for indirect, consequential, or punitive damages
- No warranty for third-party software or infrastructure not directly developed by Portcullis
8. Termination
8.1 Either party may terminate services with 30 days written notice.
8.2 Immediate termination possible for:
- Breach of contract terms
- Non-payment
- Security violations
- Unresolvable technical incompatibilities
9. Dispute Resolution
9.1 Disputes will be resolved through:
- Good-faith negotiation
- Mediation
- Binding arbitration in the jurisdiction of Portcullis’s primary business location
10. Modifications to Terms
10.1 Portcullis reserves the right to modify these terms with 30 days prior written notice.
10.2 Continued use of services constitutes acceptance of updated terms.
11. Governing Law
11.1 These terms shall be governed by the laws of Delaware.
